The Texas Instruments Jazz Band

Operating Charter

 

Article I

Name, Purpose, Objective

Section 1. The name of this club shall be The Texas Instruments Jazz Band.

Section 2. The Texas Instruments Jazz Band is organized to provide an outlet for Texins Association members to perform jazz in a big band environment.

Section 3. The Texas Instruments Jazz Band shall endeavor to make public appearances at community events and to provide a means for the musical growth of the Jazz Band's members.

Article II

Membership

Section 1. Membership in the Texas Instruments Jazz Band shall be limited to individuals who meet the criteria defined by the Texins Association.  The Texins Association is a 501(c)(7) organization.   Texins Membership Eligibility standards define a member as:

      - TI employees, (regular or temporary, full-time or part-time), or TI retirees.
- Former TI employees.
- Employees of "affiliated" companies at those sites and entities where there has been continuous operation with active Association members since TI divestiture of the businesses.
- All regular members, including those from the general public are eligible for participation in all club activities and officer positions.
- Membership benefits are also extended to spouses and dependent children of club members.
- Members of the general public representing no more than 25% of the members of each club.

Section 2. Membership will be based on the following ranked criteria:

      1. A TA eligible person performing at, or near the level of the band.  This will be the judgement of the Director.  (TA eligible members have priority over members from the general public)
2. Good attendance at rehearsals and performances.  Make rehearsal by 8:15 and performances by downbeat.
3. Punctuality for rehearsals and performances.  Make rehearsal by 7:45 and performances at designated time.
4. Seniority.

Section 3. Musicians interested in auditioning for a chair in the band will be allowed to do so in early January and mid-July, or as chairs become vacant.  The applicant will audition according to a process decided by the Director and the Executive Committee.  Musical ability will be judged by the Director.  If the player is clearly superior to a current member of the band based on the criteria in Section 2., the Director, with the approval of the Executive Committee, may replace the current member with the challenger.  If no positions are available, a qualified applicant may become an alternate and fill in for missing members of the section for rehearsals and performances.  The Collin County Community College also has a big band, which is open to audition.

Article III

Meetings

Section 1. Regular meetings of the general membership will be held each Tuesday night at 7:30 - 9:30 pm in room B150 of the Collin County Community College Spring Creek Campus in Plano, TX, unless otherwise announced by the President or Director.  Special meetings of individual sections of the band may be called by agreement of the members of that section.

Section 2. At all meetings intended for the full band, 50% of the active membership roster shall constitute a quorum for the transaction of all business, provided that all members have been notified of the meeting time and place.

Section 3. All decisions shall be determined by the majority of the members present at each meeting, provided that all members have been notified of the meeting time and place.

Article IV

Officers

Section 1. The Executive Committee shall be composed of the following officers:  President and Secretary/Treasurer.  In addition, the band shall have the elected positions of Librarian, Publicity Manager, and Equipment Manager.  Officers shall be elected for a one-year term beginning the first rehearsal of each calendar year.  Elections will be held at the last meeting of the previous calendar year. 

Section 2. Duties of the general officers are as follows:

President:  Shall act as general coordinator of the club activities; preside at meetings; act as a liaison for coordinating performances; and assist in all club activities.

Secretary/Treasurer:  Shall maintain meeting attendance roster; collect dues; maintain financial records of the club; purchase supplies as authorized by the Executive Committee or by the general membership.

Librarian:  Shall maintain a list of charts; organize the music files; keep copies of charts; purchase music or replacement parts when authorized by the Executive Committee.

Equipment Manager:  Shall maintain list of assets; assure the arrival and setup of the sound system; manage the shirt inventory; and manage the sale and inventory of CD’s or other band items.

Publicity Manager:  Shall maintain lists of publicity outlets;  shall prepare and distribute publicity for upcoming events. 

The President shall appoint a director, whose duties are:

Band Director:  Shall lead the band musically; shall have sole discretion concerning personnel placement within the band.

Other officers may be added to the Executive Committee as deemed necessary by the Executive Committee and/or the general membership.

Article V

Operating Funds

Section 1. All funds raised by performance will be used for enlarging the band's musical library, covering performance expenses, and the purchase of capital items.

Section 2. The funds of the Texas Instruments Jazz Band shall be used as authorized by the Executive Committee and by the general membership.

Article VI

Level of Activity

Section 1. Membership in the Texas Instruments Jazz Band shall be publicized through the use of the Texins Publications and WEB page, the band WEB page, flyers, general media outlets, as well as by invitation during performances.

Section 2. The Texas Instruments Jazz Band shall perform at those events in which both the band's participation is requested and the general membership of the band approves said performance.  The Texins Association shall have the right to forbid the band from playing at any performance deemed improper by corporate standards.

Any revision to the bylaws must be submitted, reviewed, and approved by the Texins Board of Directors.
